1. Introduction and Scope
This Institute & TPO Terms of Service ("Agreement") governs the use of the LueinHire platform and services ("Services") by a college, university, training provider, coaching centre, or Training & Placement Office ("TPO") that registers an account to assess its own enrolled students, applicants, or members (each, an "Institute").
This Agreement applies whether or not the Institute pays any Fee to LueinHire — see Section 6 (Account Types and Fees). It does not govern Employers, who are bound by the Terms of Service, or individual Candidates, who are bound by the Candidate Terms of Use.
2. Definitions
- "Batch" means a group of Candidates the Institute invites to the Services together, whether by uploading a list or sharing an invite link.
- "Candidate" means a student, applicant, or member of the Institute whose interviews, assessments, resumes, or other personal data are processed through the Services after being invited by the Institute in a batch or to signup on LueinHire by sharing an invite link, and who is separately bound by the Candidate Terms of Use.
- "Cycle" means an assessment period made available to a Batch. A Cycle commences on the "Cycle Commencement Event" — the point at which the first Candidate in that Batch starts an assessment — consistent with the Refund Policy.
- "Fees" means the amounts, if any, payable by the Institute for the Services, as set out in the applicable Order Form or in pricing communicated to the Institute in writing (including via the Website, email, or in-product) at the time of registration or renewal, calculated on a per-Cycle, per-Batch, or per-Candidate-count basis as specified in the Order Form (the "Fee Basis").
- "Order Form" means a quotation, order confirmation, invoice, in-product plan selection, or other document, in any format, agreed between LueinHire and the Institute, setting out the Fees, Fee Basis, and any plan-specific terms or usage limits applicable to the Institute's account. Each Order Form is incorporated into this Agreement by reference.
- "Free-Tier Institute Account" means an Institute account for which no Order Form specifies a Fee. An Institute on a Free-Tier Institute Account remains bound by this Agreement in full, other than provisions that expressly apply only to a Paid Institute Account.
- "Paid Institute Account" means an Institute account for which an Order Form specifies a Fee.
- "Channel Partner" means a third party through which LueinHire may make the Services available to the Institute, as further described in Section 11.
- Capitalised terms not defined here have the meaning given to them in the General Terms & Conditions.
3. Relationship to Other LueinHire Policies
This Agreement works alongside the following documents, which are incorporated by reference. Where this Agreement and one of these documents conflict on a matter that document is designed to govern, that document controls for that matter.
- General Terms & Conditions: General Terms & Conditions — acceptable use, academic integrity, intellectual property, confidentiality, liability, and dispute resolution.
- Candidate Terms of Use: Candidate Terms of Use — recording, AI scoring, and certificates for the Candidates you invite.
- Privacy Policy: Privacy Policy and Data Privacy Policy.
- Billing and cancellation (Paid Institute Accounts): Refund Policy, Cancellation Policy, and Service Level Agreement.
4. Eligibility and Registration
4.1. The individual registering the Institute's account represents that they are 18 or older and are authorised to bind the Institute to this Agreement. The Institute represents that it is a validly existing college, university, training provider, coaching centre, or TPO, or other organisation lawfully authorised to conduct the educational, training, or placement activity in connection with which it is using the Services.
4.2. LueinHire may, at its discretion, verify the Institute's identity and authority before activating an account, and may decline to register or may suspend an account where it cannot reasonably confirm these.
5. Institute Warranties Regarding Candidates
This section carries the two obligations most specific to Institutes: the 18+ warranty and the lawful-basis-for-sharing-data warranty.
5.1. Minimum age:
The Institute represents and warrants that every Candidate it invites to the Services — whether by Batch upload or invite link — is 18 years of age or older. The Institute must not invite, upload, or otherwise cause any individual under 18 to access the Services. Consistent with LueinHire's platform-wide age-gating, a Batch upload that includes an invitee whose stated date of birth indicates they are under 18 while registration will be rejected by our systems; this is an operational safeguard in addition to, not instead of, the Institute's warranty in this clause.
5.2. Lawful basis for sharing Candidate data:
The Institute represents and warrants that it has a lawful basis — whether through consent, an existing student/institutional relationship, or another basis recognised under the Digital Personal Data Protection Act, 2023 — to share each Candidate's contact details and other personal information with LueinHire for the purpose of inviting that Candidate to the Services, and that it has provided such notice to the Candidate as is required under Applicable Law before doing so.
5.3. Directing Candidates to their own terms:
The Institute must ensure each Candidate is directed to the Candidate Terms of Use before that Candidate is recorded or assessed through the Services. LueinHire's own presentation of the Candidate Terms of Use and AI Processing & Recording Consent to a Candidate does not relieve the Institute of its own obligations toward that Candidate under Applicable Law.
5.4. Indemnity:
The Institute shall indemnify LueinHire against any Claims and Losses arising from a breach of this Section 5, including any Claim brought by a Candidate, a Candidate's parent or guardian, or a Government Authority arising from the Institute inviting an individual under 18 or lacking a lawful basis to share that individual's data.
6. Account Types and Fees
6.1. Free-Tier Institute Accounts
An Institute on a Free-Tier Institute Account pays no Fee to LueinHire for the Services made available to it. Usage on a Free-Tier Institute Account — including the number of Batches, Candidates, or Cycles available — is subject to limits communicated to the Institute at registration or in-product, which LueinHire may change on reasonable notice. LueinHire may offer, limit, or discontinue free-tier access at its discretion.
6.2. Paid Institute Accounts
An Institute on a Paid Institute Account pays the Fees set out in its Order Form, calculated on the Fee Basis specified there — typically per Cycle, per Batch, or per Candidate assessed. Fees are billed and refunded as described in the Refund Policy, and are subject to applicable taxes (including GST), which are additional to the Fees unless the Order Form states otherwise.
6.3. Changing plans:
LueinHire may introduce new plans, revise Fees, or change the Fee Basis for future Cycles at its discretion, on reasonable notice to the Institute. A change in Fees does not affect a Cycle that has already commenced under an existing Order Form. An Institute may decline a revised Order Form, in which case its account continues on its existing terms until those terms expire or the Institute cancels, whichever is earlier.
6.4. Payment terms:
Where Fees are payable, the Institute shall pay invoices by the due date specified, through the payment methods made available by LueinHire, which may include a third-party payment aggregator. Failure to pay may result in suspension of the affected Batch or Cycle, consistent with Section 9.
6.5. Separate charges to Candidates
Independently of any Fee payable by the Institute — and regardless of whether the Institute's account is a Free-Tier Institute Account or a Paid Institute Account — LueinHire may charge a Candidate invited by the Institute directly, for example a batch activation fee, as communicated to the Institute or Candidate at the time and governed by the Refund Policy and the Candidate Terms of Use. The Institute is not liable for these amounts and does not receive them, but should account for their possible existence in what it communicates to its Candidates about the cost, if any, of participating.
7. Use of the Services
7.1. Subject to this Agreement, LueinHire grants the Institute a limited, non-exclusive, non-transferable right to access and use the Services to create Batches, invite Candidates, and receive assessment results and reports for its own institutional, academic, or placement purposes.
7.2. The Institute is responsible for all activity under its account, including activity by any staff member or administrator it authorises to access it.
7.3. The Institute may use assessment reports and certificates it receives for its own institutional purposes — such as academic records, placement processes, or reporting to a TPO or Channel Partner it works with — but must not alter a report or certificate, or represent it as something other than what the Candidate Terms of Use describes it to be.
8. Academic Integrity
The Institute must promptly report to LueinHire any suspected violation of the Academic Integrity provisions in the General Terms & Conditions by a Candidate it has invited, and must not rely on, publish, or act on a score, result, or certificate it reasonably suspects is affected by such a violation.
9. Suspension and Termination
9.1. In addition to the grounds set out in the General Terms & Conditions, LueinHire may suspend or terminate an Institute's account, or a specific Batch or Cycle, where the Institute breaches Section 5 (Institute Warranties Regarding Candidates), including by inviting or attempting to invite an individual under 18, or where, for a Paid Institute Account, Fees remain unpaid past their due date.
9.2. On termination, the Institute's access to the Services ends, and Candidate data associated with the Institute's account is handled in accordance with the Privacy Policy and Data Privacy Policy.
10. Service Levels
Paid Institute Accounts are covered by the Service Level Agreement, including its uptime commitments and Rebate mechanism. Free-Tier Institute Accounts are provided on a reasonable-efforts basis and are not covered by the Service Level Agreement's uptime or Rebate commitments, since no Fee is paid against which a Rebate could be calculated.
11. Channel Partners
Where the Institute was introduced to LueinHire by, or manages its relationship with LueinHire through, a Channel Partner, that Channel Partner may access aggregated data about the Institute's account, such as revenue and Candidate-count figures, for its own role in that relationship. A Channel Partner does not receive raw interview recordings, individual Candidate scores, or other individually identifiable Candidate data, as further described in the Privacy Policy. This Agreement remains directly between the Institute and LueinHire regardless of any Channel Partner's involvement.
12. Data Protection
LueinHire processes Candidate data made available through the Institute's account as described in the Privacy Policy and Data Privacy Policy.
The Institute acknowledges that it may independently be a Data Fiduciary under the Digital Personal Data Protection Act, 2023, in respect of the Candidate data it collects and shares with LueinHire, and that this Agreement does not relieve the Institute of its own obligations in that capacity.
13. General Provisions
Intellectual property, confidentiality, disclaimers, limitation of liability, indemnification (in addition to Section 5.4 above), force majeure, and governing law and dispute resolution are as set out in the General Terms & Conditions, which is incorporated into this Agreement by reference and applies to the Institute in full.
14. Term and Amendment
14.1. This Agreement takes effect when the Institute registers an account and continues until terminated as described in Section 9 or by either party in accordance with the Cancellation Policy.
14.2. LueinHire may amend this Agreement from time to time. The current version is always published at this URL. Continued use of the Services after an amendment is posted constitutes the Institute's acceptance of the amended Agreement, except where fresh acceptance is required by Applicable Law.
