LueinHire ("we," "us," or "our'') offers video hiring and recruitment services through its platform, including but not limited to live interview hosting, on-demand online interviews, and recruitment-related features (collectively, "Services"). Users of the Services are referred to as "you" or "your." By using our Services or registering with us, you agree to be bound by the terms outlined in this document ("Terms''). Your utilization of the Services, whether through the website or other means, signifies your acceptance of these Terms. If you engage our Services through a separate written agreement or master services agreement, these Terms are considered incorporated into that agreement.

Your access or use of our Website and/or Services constitutes your acceptance of these Terms as a legally binding contract. These Terms are applicable and binding, whether or not explicitly accepted separately by you.

Continued use of the Services after modifications constitutes automatic acceptance of the amended Terms. It is your responsibility to regularly review these Terms for updates. 1. Definitions

In these Terms, the following terms have the meanings specified below unless the context requires otherwise:

1.1. Affiliates:

Refers to any entity directly or indirectly Controlled by, or under common Control with, a specific Person.

1.2. Applicable Law(s):

Encompasses any rule of law, statute, bye-law, regulation, ruling, code of practice, consent, license, requirement, permit, order, notification, circular, guidelines, directive, or any judicial interpretation thereof by a regulatory or judicial authority. This includes all statutory requirements issued by an Indian Government Authority..

1.3. Charges:

Unless using the Services through a free trial or using free credits, Charges denote the amount payable for the Services. Payments can be made through the self-service portal within the Customer Account or manually provisioned by our team. Charges may be time-based (e.g., per hour or per month) or usage-based (e.g., per jobs per month or per unique interview per job per month, etc). If a Minimum Billing Amount is applicable, Charges are subject to it for each calendar month the service is used.

1.4. Claims:

Encompasses all pending or threatened legal actions, suits, proceedings, arbitrations, whether at law, in equity, before any Government Authority, or competent tribunal or court.

1.5. Confidential Information:

Includes Intellectual Property and all business, technical, and financial information related to the arrangements in these Terms or any other agreement where these Terms are incorporated. This involves information regarding financial and business operations, specifications, models, merchant lists, reports, forecasts, historical data, computer programs, documentation, technical, financial, or business data, internal management, customers, products, services, anticipated products/services, processes, financial condition, employees, merchants, marketing strategies, experimental work, trade secrets, business plans, business proposals, customer contract terms and conditions, compensation, commission, service, and other confidential information treated as proprietary.

1.6. Controlling, Controlled by, or Control:

With respect to any Person, it signifies:

(a) The possession, directly or indirectly, of the power to direct or cause the direction of the management and policies of such a Person, whether through the ownership of voting shares, by agreement, or otherwise. It also includes the power to elect more than half of the directors, partners, or other individuals exercising similar authority with respect to such a Person.

(b) The possession, directly or indirectly, of a voting interest of more than 50% (Fifty Percent).

1.7. Customer Data:

Encompasses all data, including text, sound, software, image, or video files, and their derivatives, created by or originated with you or your End Users. Ownership of Customer Data remains with the source creator. Our right to access and use Customer Data is limited to providing the Services, analytics, to improved artificial intelligence models or for legal compliance, without granting any ownership or transfer rights except as provided herein.

1.8. De-provisioning of Services:

Concerning the Services, it denotes the termination of services to you, release and reallocation of all allocated resources to the Customer, and deletion of Customer Data stored on our servers.

1.9. End User:

Refers to any individual or entity directly or indirectly accessing or using the Services under the Customer Account. It excludes individuals or entities accessing or using the Services or any LueinHire services under their LueinHire account, not the Customer Account.

1.10. Force Majeure Event:

Encompasses events like significant power grid failure, internet failure, natural disasters, war, riot, embargoes, epidemic, pandemic, strikes, terrorist activity, acts of Government Authority, acts of God, or other events beyond the control of any party.

1.11. Government Authority(ies):

Includes a government, department, office, minister, commission, agency, board, or other governmental, semi-governmental, judicial, quasi-judicial, administrative, monetary, or fiscal authority, body, or tribunal.

1.12. Paid Credit Prepaid Customer:

Denotes a customer buying or receiving paid credits for availing various services provided by us.

1.13. Inherent Business Risk:

Refers to risks associated with providing cloud services, including data loss due to server attacks, server and equipment malfunctions, software malfunctions, or supporting Third-Party Software.

1.14. Inactive Customer:

Defines a customer who has not utilized any Services in the preceding 90 (Ninety) days.

1.15. Intellectual Property (IP):

Encompasses patents, trademarks, service marks, trade names, registered designs, copyrights, rights of privacy and publicity, and other forms of intellectual or industrial property. It includes know-how, inventions, formulae, confidential processes, trade secrets, any other protected rights or assets, licenses, permissions, and "Intellectual Property Rights" (IPR) in connection therewith worldwide, whether registered or registrable, and all extensions, renewals, and applications for registration.

1.16. Losses:

Refers to any loss, damage, injury, liabilities, settlement, judgment, award, fine, penalty, fee (including reasonable attorneys’ fees), charge, cost, or expense of any nature incurred in relation to a Claim(s).

1.17. Malware:

Encompasses any malicious computer code such as viruses, logic bombs, worms, trojan horses, or any other code or instructions infecting or affecting any program, software, client data, files, databases, computers, or other equipment or item. It damages, undermines, or compromises integrity or confidentiality, incapacitates, diverts, or helps divert an information system from its intended use.

1.18. Managed Services:

Denotes the provision of professional services for additional payment to a customer by us to enable the management of cloud computing infrastructure. Unless specifically stated, the Services provided to you shall be deemed "Self-Managed Services" and not "Managed Services."

1.19. Material Adverse Effect:

Signifies any state of facts, change, development, effect, condition, or occurrence that adversely affects either party’s ability to perform its obligations under these Terms.

1.20. Person:

Represents any natural person, limited or unlimited liability company, corporation, general partnership, limited partnership, proprietorship, trust, association, or other entity, enterprise, or business organization, incorporated under Applicable Law or unincorporated thereunder, registered under Applicable Law or unregistered thereunder.

1.21. Minimum Billing Amount:

Denotes the minimum amount of usage charges for a particular service provided by us for a calendar month, regardless of the actual time-based usage of such service during that calendar month.

1.22. Refund Policy:

Refers to the Refund Policy published on the Website, accessible at Refund Policy, as amended by us from time to time. The most current version will be published on the Website.

1.23. Privacy Policy:

Denotes the Privacy Policy published on the Website, accessible at Privacy Policy, as amended by us from time to time. The most current version will be published on the Website.

1.24. Service Level Agreement (SLA):

Signifies the Service Level Agreement published on the Website, accessible at Service Level Agreement. This document outlines the service levels we offer with respect to our Services. It may be amended at our sole discretion, and the most current version will be published on the Website.

Stands for tax deducted at source in accordance with India Law.

These Terms are binding on you from the date you begin availing the Services from us and remain valid as long as you continue to avail the Services.

1.28. Third Party:

Represents a Person other than you and us.

1.29. Variable Usage Charges:

Encompasses Charges that may vary depending on the usage of any LueinHire service by you. These charges may increase over time due to increased usage without any explicit action taken by you to avail of additional usage. For example, Variable Usage Charges for data backup services may increase based on backup duration, and an increased data being backed up in a calendar month.

2. Use of the services

2.1. Compliance:

By availing the Services, you are required to comply with these Terms and all other operating rules, policies, and procedures published from time to time on the Website, including but not limited to the Term and Condition, Data Privacy Policy, SLA, and Refund Policy (“Company Policies”).

2.2. Account Information:

When registering for our Services, you may need to provide information such as your name, email address, and valid payment details. The collection, use, and disclosure of account-related information are subject to the terms of our Privacy Policy.

2.3. Updates:

We may make commercially reasonable updates to the Services and Company Policies from time to time.

2.4. Discretionary Actions:

In our sole discretion, we reserve the right to refuse or discontinue providing the Website and Services for any reason, including your failure to comply with these Terms. We may deactivate, terminate, prevent access to, disable services for, and/or delete customer accounts or access to the Website and Services at our discretion.

3. Representations and warranties

  • No actions, suits, Claims, or investigations materially affect your ability to perform under these Terms.
  • All information disclosed to us is truthful, and there is no misrepresentation.
  • The Website and Services are not intended for use by individuals under 18 years; you represent that you are 18 or older.
  • You've had adequate opportunity to read and understand these Terms and agree to be legally bound by them.

4. Your obligations

4.1. Customer Account

4.1.1. Monitoring Account Activity:

You are responsible for monitoring activities under your LueinHire account, whether authorized by you, your employees, or Third Parties. We are not liable for unauthorized access to your account.

4.1.2. Security Measures:

Implement strong passwords, access control measures, and data protection controls to safeguard Customer Data. Promptly notify us of any unauthorized account use or security breaches.

4.1.3. Unauthorized Use Notification:

Immediately inform us of any unauthorized account use or security breaches and cooperate with investigations. Security breaches due to your failure to implement measures are your sole responsibility.

4.1.4. Security Breach Liability:

You shall defend, indemnify, and hold us and our Affiliates harmless from Claims and Losses resulting from a security breach.

4.2. Backup of Customer Data:

You are responsible for securing, protecting, and backing up Customer Data. We are not obliged to maintain backup copies. You remain liable for Minimum Billing Amounts and Variable Usage Charges related to data backup services.

4.3. Use of Licensed Software

4.3.1. Third-Party Software:

Acknowledge that software provided with the Services is Third-Party Software, subject to End-User License Agreements (EULAs). Agree to abide by associated EULA terms.

4.3.2. Use of Licensed Software:

Obligated to use the licensed version of software related to the Services. You shall not use pirated software now or in future. You are liable for Losses or Claims due to the use of unmaintained open source or obsolete Third-Party Software.

4.3.3. Indemnification:

Liable for Claims against us related to Third-Party Software use. You shall indemnify, defend, and hold harmless the Indemnified Parties.

4.3.4. Configuration Services:

We may configure Third-Party Software at your request on a paid basis in future, with no obligation to provide such services. Not liable for damages due to Third-Party Software configuration.

4.3.5. Software Updates:

You are responsible for updating your requested Third-Party Software. We are not liable for disruptions due to your failure to update.

4.3.6. Copyright Notices:

You shall not remove or tamper with copyright, trademark, or patent notices in Third-Party Software.

4.4. Error Reporting:

Document and report errors or malfunctions promptly to . Feedback provided may be used to improve Services without incurring obligations.

4.5. Legal Compliance:

Ensure compliance with legal obligations under Applicable Laws and regulatory frameworks for accessing the Services. Responsible for the security of Services and related equipment.

4.6. Assistance to LueinHire:

Provide reasonable assistance as requested by us for the provision of Services.

4.7. Computing Environment:

Ensure availability and stability of the computing environment to support the Services as required.

4.8. Copyright Notices:

Do not remove or tamper with copyright, trademark, or patent notices in content or software provided by us. Indemnify us against Claims for violation.

4.9. Ethics and Transparency:

Observe ethics and transparency in all actions. Do not take actions or make statements that may mislead or adversely impact LueinHire's business or goodwill.

4.10. Timely Payments:

Comply with obligations under these Terms and ensure timely payments according to invoice due dates.

4.11. Monitoring Server Resources:

Monitor the functioning of resources on your LueinHire acoount for accessing Services and take appropriate action to resolve issues.

5. Seizure of data and hardware

5.1. Seizure Costs:

Agree to pay costs associated with the seizure of hardware or data by any Government Authority.

5.2. Data Loss Liability:

Acknowledge that we are not liable for data loss in case of seizure. No Claim for loss of data, including monetary claims, against us.

6. Business risk and losses

6.1. Inherent Business Risk:

Acknowledge that Services have Inherent Business Risk beyond our control. You may incur losses, and we are not liable for such losses. You indemnify us against Claims and Losses.

7. Third-party audit

7.1. Cooperation in Audit:

Cooperate in Third-Party audits initiated by Competent Third Parties. Provide necessary information for licensing compliance verification.

7.2. Termination for Non-Cooperation:

Failure to cooperate in a Third-Party audit may result in our discretion to terminate Services.

8. Regulation of use of services

8.1. Customer Data

8.1.1. End User Customer Data:

You are responsible for End Users' use of Customer Data and Services. Ensure End Users comply with obligations. Terms of your agreement with each End User must align with these Terms and Company Policies. Suspend access for violating End Users.

8.2. Prohibited activities:

8.2.1. General Prohibitions:

You must not engage in Prohibited Activities. Prohibited Activities include hosting, transmitting, creating fake jobs, asking money to offer jobs, or sharing content that violates laws, infringes on rights, is harmful, or engages in deceptive practices. Other prohibited activities include spam, identity theft, and unauthorized use of Services.

8.2.2. Duty to Remedy Prohibited Activities:

If you become aware of Prohibited Activities, make efforts to remedy them immediately, including suspending access for End Users.

8.2.3. Penalty for Non-Compliance:

Failure to discontinue Prohibited Activities within 24 hours of notification may result in penalties, included in the monthly bill or next pre-paid credit purchase. Continued violations can lead to service suspension or termination.

8.2.4. Abuse of Services:

Defined activities, such as Denial of Service (DoS), restricting system access, and deliberate interference, constitute Abuse of Service.

8.2.5. Cooperation with Investigations:

We may permit Government Authorities to inspect Customer Data. We may report violative conduct to relevant authorities. Cooperation with investigations is required as per Applicable Law.

8.2.6. Consequences of Violations:

We may take various actions for suspected violations, including warnings, access suspension, termination of services, legal proceedings, and billing for administrative costs. We have no obligation to notify you of such actions.

8.3. Imposition of Disproportionate Costs:

We reserve the right to terminate or suspend Services if there's a perception of a threat of disproportionate legal or other claims compared to the cost of Services.

8.4. Criminal Offense:

Violation of the specified conditions may constitute a criminal offense. Users are encouraged to report instances of such violations.

9. Facilities

9.1. Monitoring Equipment:

We install monitoring equipment or software for quality of service and billing purposes. Loss due to events beyond our control, including malware attacks on monitoring equipment, is not our liability. "Malware" refers to malicious computer code.

9.2. Usage Measurement:

We may measure service usage, including HTTP(s) requests, data traffic, and hardware temperature, at our discretion.

9.3. Service Requests:

Raise service requests as per the communicated method. We may change the method, and changes will be communicated on the Website. You are responsible for checking the Website for updates. Service requests can be sent to .

10. Access revoke and server reboot

10.1. Access Revoke (company member's account activation/deactivation) - Self Initiated Actions:

Utilize the self-service portal to independently manage company member's account activation/deactivation actions. Please note that losses resulting from user-initiated actions are not the liability of LueinHire.

10.2. Access Revoke - LueinHire Initiated Actions:

Alternatively, request our team's assistance for access revoke operations. Please note that losses resulting from user requested access revoke actions are not the liability of LueinHire.

10.3. Server Reboots (On/Off) - Scheduled and Emergency Maintenance:

We may perform scheduled/emergency maintenance, including application reboots. We are not responsible for server reboot issues caused by incomplete interviews during the downtime, other filesystem checks, software misconfigurations, or manual changes. Maintain data/software redundancy to prevent service impact (even though we maintain the best practices of downtime).

11. Maintenance and support

11.1. Routine Maintenance:

Scheduled maintenance is posted on the Website or communicated via email. Emergency maintenance may occur without prior notice. You agree to cooperate during maintenance periods. We are not liable for downtime beyond maintenance estimates due to server issues.

11.2. Support:

We provide 24 hr SLA support and maintenance. We won't maintain hardware not provided by us.

12. Terms of free trial

12.1. Applicability:

Terms, including specific ones for Services, govern the free trial.

12.2. Granting of Free Trial:

We may grant a free trial based on service evaluation and customer needs. The trial period is at our discretion.

12.3. Free Trial Grant Period:

We aim to grant the free trial within 7 days of receiving a request.

12.4. Modification or Cancellation:

We can cancel or modify the free trial at any time without notice.

12.5. Violation of Terms:

If your activities violate the Terms, we can cancel the free trial without notice.

12.6. Liability:

Any liabilities arising from the free trial use are solely your responsibility. We and our representatives are not liable for claims, losses, damages, fines, penalties, fees, charges, or expenses resulting from free trial use.

13. Limitation of liability

13.1. Cumulative Liability:

Our, our affiliates', and our licensors' cumulative liability for any loss or damages resulting from claims, demands, or actions related to these Terms or the Services, including any failure or delay in delivering the Services, will not exceed the total fees paid by you for one month in the month prior to the event leading to the claim. We have no liability for delays unless specified in the Service Level Agreement.

13.2. Exclusion of Certain Damages:

We are not liable for special, indirect, incidental, punitive, exemplary, reliance, or consequential damages, including compensation, reimbursement, or damages related to the use or loss of use of the Services, loss of profits, goodwill, data or content, cost of procurement of substitute goods or services, subsequent or other commercial loss, or any other reason, whether based on contract or tort (including negligence or strict liability), even if we were advised of the possibility of such damages.

14. Limited warranty

14.1. Service Level Agreement Compliance:

We represent that we will make best efforts to provide the Services in compliance with our Service Level Agreement. Apart from this warranty, we disclaim all other warranties, express or implied, including merchantability, fitness for a particular purpose, title, and non-infringement. We specifically disclaim uninterrupted or error-free service operation. We make no representations or warranties regarding the accuracy of the Artificial Intelligence systems, dependability, privacy, security, authenticity, or completeness of data transmitted over the Internet or any issues caused by the Internet or the servers on which application Services are running.

14.2. Internet Security Responsibility:

  • LueinHire actively engages in continuous enhancements to ensure robust internet security measures.
  • Implementation of CSRF tokens adds an extra layer of protection against potential threats.
  • Time-bound media access contributes to the security framework, ensuring controlled and authorized data access.
  • Utilization of a data encryption protocol during data transfer within the application enhances overall security.
  • At LueinHire, we are committed to maintaining a secure online environment for our users, and these measures reflect our dedication to internet security.
  • Note, you are solely responsible for implementing adequate strong account password, and other security measures to protect your LueinHire account identity, data, and applications from unwanted intrusion, whether over the Internet or by other means. We have no liability for intrusion, virus, disruption, loss of communication, loss or corruption of data, or other errors introduced through the Internet.

15. Consideration

15.1. Paid Credit Prepaid Customers:

If you are a Paid Credit Prepaid Customer, we will invoice you for the amount equivalent to the infra credits purchased under your Customer Account, after deducting applicable taxes. Ensure a positive infra credit balance to avoid automatic suspension or de-provisioning of Services.

15.2. Other Customers:

Invoices for non-Paid Credit Prepaid Customers are raised per the billing period. Failure to pay may result in suspension/de-provisioning, reduction/cancellation of credit period, cancellation of discounts, or price increases without prior notice. Maintain current and accurate billing information in your Customer Account.

15.3. Inactive Customer Credits:

Inactive Customers with prepaid credits may have them invalidated after notice. The LueinHire reserves the right to reverse free credits or coupons at its discretion without prior notice.

15.4. Invoice Amendments:

Request changes to invoice details within 7 days of receipt via email. Failure to communicate changes within the specified timeframe may result in refusal to amend or issue credit notes.

15.5. Currency and Escalation of Charges:

Pay all fees in the currency of the invoice; foreign remittance charges, if applicable, are your responsibility. We may revise prices, discontinue plans, or change features at our discretion and will notify you of changes via email if deemed feasible.

15.6. Payment Terms and TDS Compliance:

Payments made by direct transfer, cheque, demand draft, or online through the Customer Account. We may use third-party payment processors; their terms apply. Legal action can be taken for non-payment; you're liable for collection costs. TDS certificates must be uploaded quarterly; failure to do so may result in service suspension/de-provisioning.

15.7. GST Compliance:

Provide a valid GSTN in your Customer Account if registered under GST. LueinHire is not liable for any loss if the provided GSTN is inactive/cancelled/suspended.

15.8. Banking Service Disruption:

Failure to receive payment due to banking service disruption may result in service suspension/de-provisioning.

16. Confidentiality

16.1. Obligation to Safeguard Confidential Information:

Safeguard and keep confidential LueinHire's Confidential Information using measures equal to your standard of care for your own Confidential Information. Use LueinHire's Confidential Information only for implementing your rights and obligations under these Terms and as expressly contemplated by these Terms.

17. Security and disclosure of customer data

17.1. Security Measures:

You are responsible for regularly patching your systems with security updates. Maintain high levels of input sanitation on web applications and encrypt protected data. Implement reasonable security measures for Customer Data; we will make best-efforts to assist in securing it. However, you are responsible for configuring and using the Services securely, including data protection and backup. We do not promise to retain backups of your Customer Data.

17.2. Disclosure of Customer Data:

We do not maintain multiple copies of Customer Data by default, unless required by Applicable Law. Customer Data will not be disclosed to third parties unless necessary for providing Services or mandated by a Government Authority. We are not responsible for notifying you of such demands or orders for disclosure.

18. Suspension of services

18.1. Grounds for Suspension:

We may suspend Services without liability if there's a failure to pay, violation of these Terms, cooperation failure in investigations, security risks, or as required by Applicable Law. Additional grounds include your business cessation, insolvency, or a court order.

18.2. Notice and Cure:

We may give advance notice of suspension with a chance to cure unless immediate suspension is deemed necessary. Payments for reactivation include invoices not due, TDS amounts, reactivation fees, and interest on overdue invoices.

18.3. Responsibilities After De-Provisioning:

You are responsible for fees until the date of De-Provisioning, even if services were in a suspended state. Access to Services may be disabled during suspension, and we are not liable for damages or losses incurred. Suspension may affect all customer accounts if you have multiple accounts.

18.4. Additional Suspension Details:

Services may be restored only when outstanding payment is credited to our bank account. Deprovisioning may occur at any time after suspension due to non-payment or other reasons. LueinHire reserves the right to suspend/de-provision all services, including committed instances, with no refund due to the Customer. After deprovisioning, all Customer Data, including backups, will be deleted, and resources will be released.

18.5. No Liability for Actions Taken:

We have no liability for any action taken under this clause. This does not preclude you from pursuing other remedies available by statute or otherwise permitted by applicable law.

19. Indemnification

19.1. Indemnification Obligation:

You shall defend, indemnify, and hold harmless the Indemnified Parties from Claims and Losses arising from breach of these Terms, violation of Company Policies or Applicable Law, non-payment of taxes, breach of security measures, disputes, or alleged infringement of Third-Party IPRs. Your obligation extends to Claims arising from acts or omissions by your employees, End Users, or any Person gaining access due to your failure to use reasonable security measures.

20. Termination

20.1. Termination/De-Provision Process:

Termination requests for Services can be initiated by writing to for manually provisioned services.

20.2. Termination by LueinHire:

Termination may occur if there is a failure to make due payments, failure to deposit TDS, or violation of terms. LueinHire may terminate services without notice if there's fraudulent, unlawful, or abusive usage, violation of laws, material breach of terms, or risks to LueinHire, its Services, or resources. Effects of termination include the removal of electronically stored data, reformatting/de-provisioning servers, and responsibility for fees till deprovisioning. Immediate termination may occur for certain breaches without an opportunity to cure.

20.3. Handover of Data:

LueinHire may, at its discretion, assist in transitioning Customer Video Data files to an alternative provider upon termination, subject to availability of backup data, additional charges and agreed terms.

21. Proprietary rights

LueinHire and its licensors own all rights, title, and interest in the Services and underlying software. A limited license is granted to users. LueinHire may use the user's logo, trademark, and entity name for identification purposes and marketing materials within their LueinHire employer account.

22. Miscellaneous

22.1. Entire Agreement:

These Terms, along with Company Policies and referenced documents, constitute the entire agreement. Terms set forth in invoices and written communications are also binding.

22.2. Force Majeure:

LueinHire is not responsible for delays or damages due to a Force Majeure Event. LueinHire may discontinue Services immediately in the event of a Force Majeure Event preventing continued provision.

22.3. Email Communication:

Legal communication requirements are satisfied with electronic notices sent via email. Users agree to receive electronic notices to the email address associated with their Customer Account.

22.4. Relationship, Assignment, No Waiver, Severability:

The parties are independent contractors, and the agreement does not create a partnership or agency relationship. Assignment is not allowed without written consent. No waiver of rights is implied by not exercising them. Severability clause is included; invalid parts will not affect the rest of the agreement.

22.5. Non-Solicitation:

Users are prohibited from directly or indirectly soliciting LueinHire's employees/Admin members during the Services and for 2 years after termination.

22.6. Governing Law, Dispute Resolution:

The agreement is governed by the laws of India. Disputes are subject to arbitration in accordance with the Arbitration and Conciliation Act, 1996, with the seat of arbitration in Bangalore, India. This concludes the comprehensive breakdown of the LueinHire.com Terms of Service.
